We set out clear conditions of sale to protect both our customers and our business with fairness and accountability.

Purpose and scope of application

These General Conditions of Sale (GTC) govern the contractual relationship between Livanille SAS, exclusive distributor of vanilla products and derivatives in the European Union, and any professional client (“the Buyer”).

Any order implies full acceptance of these GTC, which take precedence over any other document, unless specifically agreed in writing.

Price
  • Prices are stated in euros (€), excluding taxes. The applicable rates are those confirmed at the time of order. Livanille reserves the right to amend prices at any time.

Discounts and Rebates
  • Quantity or contractual discounts may be granted, confirmed in writing. No early payment discount unless specified in writing.

Terms of Payment
  • Payment by bank transfer. Unless otherwise agreed, payment is due 30 days net from invoice date, after goods receipt.

Late Payment
  • In the event of total or partial non-payment of the invoice, the buyer must pay to Livanille a late penalty calculated on the basis of an annual rate of 12%, as well as a flat-rate compensation for collection costs of €40.

    This penalty is calculated on the amount including VAT of the remaining amount due, and runs from the date of maturity of the price without any prior formal notice being necessary Articles 441-10 and D. 441-5 of the Commercial Code.

Reservation of Ownership Clause
  • Ownership of the goods remains with Livanille until full payment. In case of default, Livanille reserves the right to reclaim products, including during insolvency proceedings.

Delivery
  • Delivery timelines are indicative only. Livanille is not liable for force majeure or external circumstances.

    Neither party shall be liable for unforeseeable, irresistible events (strikes, disasters, border closures etc., art. 1218 French Civil Code).

Quality Claims
  • The Buyer has seven (7) calendar days from delivery to submit any claim regarding the quality or conformity of the products, in writing and with supporting documentation. After this period, goods are considered accepted.

Confidentiality Clause
  • Both parties undertake to keep confidential all information exchanged during and for three years after the term of the contract.

Competent Court
  • These GTC are governed by French law. Any dispute will be subject to the exclusive jurisdiction of the Paris Commercial Court, unless settled amicably.
